The move, revealed in an email sent to users on December 28, aims to align with EU data protection regulations, particularly the General Data Protection Regulation (GDPR), which governs privacy and data processing.

The GDPR’s “one-stop-shop” mechanism allows companies processing European data to streamline privacy oversight under a single lead data supervisory authority in an EU Member State. By designating its Irish entity as the data controller, OpenAI seeks to leverage this mechanism, reducing the ability of privacy watchdogs in other EU countries to act on concerns unilaterally.

The new terms of use, effective February 15, 2024, specify that OpenAI Ireland Limited is responsible for processing personal data for users in the EEA and Switzerland. Users who disagree with the updated terms can delete their accounts.

This move follows investigations in the EU into privacy concerns related to ChatGPT, OpenAI’s generative AI chatbot. Italy and Poland have raised issues about data protection linked to how ChatGPT processes user information, prompting a temporary suspension of the service in Italy until OpenAI addressed regulatory concerns.

OpenAI’s engagement with the Irish Data Protection Commission (DPC) suggests an effort to obtain the “main establishment” status under GDPR’s one-stop-shop mechanism. This status would grant lead oversight to the Irish DPC, enabling OpenAI to navigate GDPR oversight more efficiently.

While OpenAI has recently established an office in Dublin, the company’s regional hiring plans are still unfolding. Gaining leading establishment status involves demonstrating that the Dublin-based entity can independently influence decision-making and implement meaningful privacy checks.

Several tech giants, including Apple, Google, Meta, TikTok, and X (formerly Twitter), have chosen Dublin as their EU home, benefiting from the streamlined privacy oversight enabled by the GDPR’s one-stop-shop mechanism.

OpenAI’s privacy policy update for Europe also includes additional details on the legal bases for processing user data. Notably, the company introduces a new wording emphasizing that its reliance on a legal basis for legitimate interests is “necessary for our legitimate interests and those of third parties and broader society.” This suggests OpenAI may invoke a public interest argument in addition to commercial interests when defending its data processing practices.

The GDPR task force within the European Data Protection Board is actively exploring ways to address the intersection of data protection law and AI.
